iLocal Terms of Service

Introduction

At iLocal we have your company’s best interest in mind. We offer each customer a solution that is uniquely designed to help catapult your web sites exposure to the next level. Prior to using any iLocal services, it is important you read and fully understand these Terms of Service.

By purchasing and consuming iLocal services, you assert that you are an authorized agent or representative of the client company. As an authorized agent, you also assert that you are authorized to legally encumber the company you represent by signing legally binding contracts on behalf of the client company.

For iLocal to deliver this valuable service to you, it is necessary that you read and fully understand the terms outlined in this agreement and consider this document as an addendum to the Master Services Agreement which must be signed prior to the exchange of services.

1. Intellectual Property

The proprietary iLocal.net solution, including but not limited to software, technology, design, and content, is protected by copyright, trademark, trade secret, and other intellectual property laws. Any attempt to reverse engineer, modify, reproduce, or distribute the iLocal.net solution without explicit written permission from iLocal.net constitutes a breach of this contract.

2. Non-Compete Agreement

Client companies and their employees who use iLocal.net services agree to a non-compete agreement. This agreement prohibits any client or employee who has had exposure to the iLocal.net solution from entering the Search Engine Optimization (SEO) industry for a period of 10 years from the termination of the iLocal.net contract. Violation of this non-compete clause may result in legal action and may involve monetary damages.

3. Limitations of Liability

iLocal.net shall not be held responsible for any damages, whether direct, indirect, incidental, consequential, or punitive, arising out of the use or inability to use our services. We do not guarantee the accuracy, reliability, or completeness of any information provided, and you acknowledge that any reliance on such information is at your own risk.

4. Indemnification

You agree to indemnify and hold iLocal.net harmless from any claims, losses, damages, liabilities, and expenses, including legal fees, arising out of your use or misuse of our services, violation of these terms and conditions, or infringement of any intellectual property or other rights of any third party.

5. Termination

iLocal.net reserves the right to terminate your access to our services at any time without notice or liability. Upon termination, all provisions of these terms and conditions which by their nature should survive will survive, including but not limited to intellectual property rights, non-compete agreement, and limitations of liability.

6. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of King County, in the State of Washington, United States of America. Any disputes relating to these terms and conditions must be filed and heard within the jurisdiction of the courts of that jurisdiction.
